1. Introduction

1.1. These Terms and Conditions (“Terms”) govern your use of Beebe Hill, LLC’s (“Beebe Hill,” “we,” “us,” or “our”) website (the “Site”) located at https://beebehill.com, as well as any services, deliverables, or products you acquire from us.

1.2. By accessing or using the Site and/or purchasing any of our services, you (“you” or “Client”) agree to be bound by these Terms. If you disagree, please discontinue use immediately.

2. Definitions
  • “Site” means the website located at https://beebehill.com and any subdomains.

  • “Services” means the professional offerings Beebe Hill provides, such as managed IT, marketing, web design, hosting, domain sales, consulting, support, and related deliverables.

  • “Deliverables” means any reports, software, designs, content, or other materials we deliver under a signed agreement.

  • “Comments” means any text, images, or other content users post on the Site.

3. Scope of Services

3.1. We offer:

  • Managed IT Retainers (e.g., 32 hours of work + 8 hours of support per month).

  • Web & Brand Services: domain sales (excluding registration fees), domain-transfer facilitation, design, hosting, security, branded email.

  • Marketing & Consulting: brand management, strategy, leadership coaching, business consulting.

3.2. Specific service levels, fees, and timelines appear in each Statement of Work or Order Form.

4. Website Use & Access

4.1. The Site is for your personal or internal business use. Do not use it for unlawful purposes or in any manner that could impair the availability or accessibility of the Site.

4.2. You agree not to:

  • Copy, republish, reproduce, duplicate, sell, rent, sub-license, or redistribute any material from the Site without our prior written consent.

  • Bypass any measures we use to prevent or restrict access to the Site.

5. Cookies

5.1. We use cookies to personalize your experience and collect analytics or marketing data. By using the Site, you consent to our use of required cookies (necessary for basic Site functionality) and, if you opt in, optional cookies for analytics or marketing.

5.2. You may decline optional cookies via your browser settings, but required cookies cannot be disabled if you wish to use the Site. Third-party cookies may also be set when you use embedded services (e.g., videos).

6. License to Site Content

6.1. All intellectual property rights in the Site’s design, text, graphics, and code are owned by Beebe Hill or its licensors.

7. User Comments & Conduct

7.1. Certain areas of the Site may allow you to post Comments. You retain ownership of your Comments but grant Beebe Hill a perpetual, royalty-free, worldwide license to use, reproduce, edit, and authorize others to use and edit them in any media.

7.2. You warrant that your Comments:

  • Are truthful, lawful, and do not infringe any third-party rights (including intellectual property, privacy, or publicity rights).

  • Are not defamatory, libelous, obscene, abusive, harassing, or objectionable.

  • Will not be used to solicit business, promote commercial activities, or advocate unlawful conduct.

  • 7.3. Beebe Hill is not responsible for Comments posted by users. However, we reserve the right (but not the obligation) to monitor, edit, or remove any Comments at our sole discretion if they violate these Terms.

8. Hyperlinking Policy

8.1. Permitted without approval:

  • Government agencies

  • Search engines

  • News organizations

  • Online directory distributors (under standard listing practices)

  • System-wide Accredited Businesses (excluding charity fundraisers/shopping malls)

  • 8.2. May request approval:

  • Well-known consumer/business information sites

  • Dot-com community sites

  • Charitable or community organizations

  • Internet portals

  • Professional services firms (accounting, law, consulting)

  • Educational institutions and trade associations

  • 8.3. Requests must include your name, organization, contact info, source URL(s), and target URL(s). Allow 2–3 weeks for a response.

  • 8.4. When linking, you may use our corporate name, the URL, or an appropriate description—but may not use our logo or other artwork without a trademark license.

9. Content Liability

9.1. We do not guarantee the accuracy, completeness, or suitability of any content on third-party sites linked from our Site.

9.2. You agree to indemnify and defend Beebe Hill against any claims arising from content you post or links you place on your website.

10. Reservation & Removal of Links

10.1. We reserve the right to request the removal of any link to our Site without notice. Upon request, you agree to remove links immediately.

10.2. If you find any link on our Site offensive or inappropriate, you may contact us; although we will consider removal requests, we are not obligated to respond or comply.

11. Fees, Invoicing & Payment

11.1. Unless otherwise stated, all fees are due within 30 days of the invoice. Recurring payments (e.g., hosting, retainers) are billed in advance.

11.2. Late payments may incur interest at 1.5% per month (or the maximum permitted by law) and/or suspension of Services.

12. Intellectual Property Rights in Deliverables

12.1. Each party retains rights to its pre-existing IP.

12.2. Upon full payment, we assign you all rights in the Deliverables, excluding our proprietary methodologies, templates, and any third-party components.

13. Confidentiality

13.1. “Confidential Information” is non-public information marked or treated as confidential.

13.2. Each party agrees to protect the other’s Confidential Information with at least reasonable care and to use it only to perform its obligations.

13.3. Confidentiality obligations survive termination for five years (or as required by law).

14. Warranties & Disclaimers

14.1. We warrant that Services will be performed in a professional, workmanlike manner.

14.2. Disclaimer: Except as expressly set forth above, the Site and Services are provided “as is” without warranty of any kind, whether express or implied.

15. Limitation of Liability

15.1 Maximum Aggregate Liability. To the fullest extent permitted by applicable law, Beebe Hill’s total cumulative liability arising out of or related to these Terms, whether in contract, tort (including negligence), strict liability, or otherwise, shall not exceed the total fees you have paid to Beebe Hill during the twelve (12)-month period immediately preceding the event giving rise to liability.

15.2 No Consequential or Indirect Damages. Under no circumstances will Beebe Hill, its affiliates, officers, directors, employees, agents, or licensors be liable for any:

  • Indirect, incidental, special, punitive, or exemplary damages;

  • Consequential damages;

  • Loss of profits, revenue, data, business, anticipated savings, goodwill, or business interruption;

  • Losses or liabilities arising from third-party claims, even if Beebe Hill has been advised of the possibility of such damages or losses.

15.3 No Liability for Certain Losses. Beebe Hill disclaims all liability for any losses or damages, direct or indirect, including but not limited to:

  • Loss or corruption of data;

  • Delays or failures in performance;

  • Unauthorized access to or alteration of your transmissions or data;

  • Statements or conduct of any third party on or via the Site or Services;

  • Any other matter beyond Beebe Hill’s reasonable control.

15.4 Exceptions. Nothing in this Section 15 limits or excludes liability for:

  • Death or personal injury caused by Beebe Hill’s negligence;

  • Fraud or fraudulent misrepresentation;

  • Any other liability that cannot be excluded or limited under applicable law.

15.5 Allocation of Risk. You acknowledge that the fees charged by Beebe Hill reflect the allocation of risk outlined in these Terms and that the limitations of liability are an essential element of the bargain between the parties.

16. Indemnification

You agree to indemnify and hold harmless Beebe Hill and its affiliates, officers, employees, and agents from any third-party claims arising from (a) your breach of these Terms, (b) your use of the Site or our Services, or (c) your violation of applicable laws.

17. Force Majeure

Neither party is liable for delays or failures due to causes beyond its reasonable control, including acts of God, war, terrorism, labor disputes, or governmental actions.

18. Governing Law & Dispute Resolution

18.1. New York State law governs without regard to conflict-of-law principles.

18.2. Under the American Arbitration Association rules, any dispute will be resolved by binding arbitration in Buffalo, NY.

19. Term, Termination & Effect

19.1. These Terms commence on your first use or order and continue until completion or termination.

19.2. Either party may terminate for convenience with 30 days’ notice, or immediately for material breach uncured within 15 days’ notice.

19.3. Upon termination, you pay all outstanding fees, and we deliver any completed Deliverables. Sections 12–16 and 18 survive.

20. Amendments

We may revise these Terms at any time by posting an updated version on the Site and providing at least 30 days’ notice for material changes. Continued use signifies acceptance.

21. Communication Preferences

21.1 Consent to Contact. By providing your contact information and consent to receive messages, you may receive communications from Beebe Hill via:

  • Email (e.g., newsletters, service reminders, invoices, support updates)

  • SMS/text message (e.g., appointment reminders, support alerts)

  • Phone calls (e.g., account questions, escalations)

21.2 Opt-Out & Unsubscribe. You may withdraw your consent or change your preferences at any time by any of the following methods:

  • Email communications: Click the “unsubscribe” link at the bottom of any marketing or newsletter email.

  • SMS/text messages: Reply with the word “STOP” to any message you receive from us; you will receive one final confirmation message.

  • Phone calls: Call us at (716) 902-6734 or email support@beebehill.com and request to opt out of telephonic outreach.

21.3 Transactional Messages. Even if you opt out of marketing communications, we may still send you non-promotional, transactional notices (e.g., billing alerts, service restoration notices, security advisories) as required to fulfill our contractual obligations or comply with law.

21.4 Message & Carrier Rates. Message frequency may vary. SMS/text message and data rates may apply per your mobile carrier plan. Beebe Hill is not responsible for any charges you incur from your carrier.

21.5 Updates to Preferences. We may occasionally send you a link to review and update your communication preferences via your account portal or by email.
